A vesting certificate transfers legal ownership of materials and goods from supplier to buyer before the materials are physically incorporated into the works. It exists because materials sitting in a yard, warehouse, or supplier's premises are at risk — if the supplier becomes insolvent, materials paid for but not delivered can be claimed by liquidators unless ownership has formally transferred.
Vesting is required under most JCT, NEC, FIDIC and bespoke contracts as a precondition to payment for off-site materials. Some contracts also require it for on-site materials before incorporation. The certificate itself is only as strong as the supporting evidence — identification, separation, marking, storage, insurance, right of access.
